根据国家有关法律、法规和有关规定，甲、乙双方在平等自愿的基础上，经友好协商一致，就甲方将其合法拥有的房屋出租给乙方使用，乙方承租使用甲方房屋事宜，订立本合同。

一、 物业地址 location of the premises

3. 如乙方逾期支付租金超过十天，则每天以月租金的％支付滞纳金；如乙方逾期支付租金超过十五天，则视为乙方自动退租，构成违约，甲方有权收回房屋，并追究乙方违约责任。

in case the rental is more than ten working days overdue, party b will pay percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, party b will be deemed to have with drawn from the premises and breach the contract. in this situation, party a has the right to take back the premises and take actions against party b's breach.

五、 保证金 deposit

1. 为确保房屋及其附属设施之安全与完好，及租赁期内相关费用之如期结算，乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整，甲方在收到保证金后予以书面签收。

2. 除合同另有约定外，甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。

unless otherwise provided for by this contract, party a will return full amount of the deposit without interest on the day when this contract expires and party b clears the premises and has paid all due rental and other expenses.

3. 因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在保证金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。

in case party b breaches this contract, party a has right to deduct the default fine, compensation for damage or any other expenses from the deposit . in case the deposit is not sufficient to cover such items, party b should pay the insufficiency within ten days after receiving the written notice of payment from party a.

六、 甲方义务 obligations of party a

1. 甲方须按时将房屋及附属设施（详见附件）交付乙方使用。

party a will provide the premises and attached facilities (see the appendix of furniture list for detail) on schedule to party b for using.

2. 房屋设施如因质量原因、自然损耗或灾害而受到损坏，甲方有修缮并承担相关费用的责任。

in case the premise and attached facilities are damaged by quality problems, natural damages or disasters, party a will be responsible to repair and pay the relevant expenses.

3. 甲方应确保出租的房屋享有出租的权利，反之如乙方权益因此遭受损害，甲方应负赔偿责任。

party a will guarantee the lease right of the premises. otherwise, party a will be responsible to compensate party b's losses.

七、 乙方义务 obligations of party b

1. 乙方应按合同的规定按时支付定金、租金及保证金。

party b will pay the rental, the deposit and other expenses on time.

2. 乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。

party b may decorate the premises and add new facilities with party a's approval. when this contract expires, party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.

3. 未经甲方同意，乙方不得将承租的房屋转租或分租，并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损，乙方应承担赔偿责任。

party b will not transfer the lease of the premises or sublet it without party a's approval and should take good care of the premises. otherwise, party b will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.

4. 乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。

party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it. otherwise, party b will be responsible for the damages caused by it

5. 乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用，并按单如期缴纳。

party b will bear the cost of utilities such as communications, water, electricity, gas, management fee etc. on time during the lease term.

八、 合同终止及解除的.规定 termination and dissolution of the contract

1. 乙方在租赁期满后如需退租或续租，应提前两个月通知甲方，由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

within two months before the contract expires, party b will notify party a if it intends to extend the leasehold. in this situation, two parties will discuss matters over the extension.

2. 租赁期满后，乙方应在当天将房屋交还甲方；任何滞留物，如未取得甲方谅解，均视为放弃，任凭甲方处置，乙方决无异议。

when the lease term expires, party b will return the premises and attached facilities to party a within days. any belongings left in it without party a's previous understanding will be deemed to be abandoned by party b. in this situation, party a has the right to dispose of it and party a will raise no objection.

3. 本合同一经双方签字后立即生效；未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。

this contract will be effective after being signed by both parties. any party has no right to terminate this contract without another party's agreement. anything not covered in this contract will be discussed separately by both parties

九、 违约及处理 breach of the contract

1. 甲、乙双方任何一方在未征得对方谅解的情况下，不履行本合同规定条款，导致本合同中途中止，则视为该方违约，双方同意违约金为人民币___________元整，若违约金不足弥补无过错方之损失，则违约方还需就不足部分支付赔偿金。

during the lease term, any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract. both parties agree that the default fine will be________________. in case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.

2. 若双方在执行本合同或与本合同有关的事情时发生争议，应首先友好协商；协商不成，可向有管辖权的人民法院提起诉讼。本合同一经双方签字后立即生效；未经双方同意，不得任意终止，如有未尽事宜，甲、乙双方可另行协商。

After the leasing term, the apartment has to maintain the reasonable condition. If Party B wishes to extend the lease, Party B shall have the priority to renew the lease with the same condition and is required to give written notice to Party A One month prior the expiry of this lease , the revised rental rate and period should be negotiated between the two parties

三、租金:

四、 押金:

Deposit:

本租约签订之日，乙方应向甲方缴付壹个月租金额的租赁押金计人民币。租约期满，乙方如不再续租，甲方应在租赁期结束后十日内(在乙方将租赁期间发生的全部水，电，煤气等杂费付清后)，将押金退还（不计利息）

The day after the signature of this Tenancy Agreement, Party B must pay to Party A one months rental as deposit, totaling On completion of the tenancy period. if Party B does not continue to rent the leased property, Party A must return the deposit in full to Party B (excluding interest) within ten days after the termination or early of the Lease Agreement under the condition that Party B has paid all the utilities fee such as water, electricity, gas and telephone.

乙方如违反租约规定，致使甲方未能如期收取租金或因而发生费用开 支，甲方可以根据凭证扣留全部或部分押金抵付。不足部分甲方有权要 求乙方赔偿。

If Party B breaks any part of this contract, such as not paying the rent punctually, or causing additional expenses to Party A, Party A has the right to retain part of or all of the deposit as compensation according to its actual losses. If the said deposit is insufficient to cover Party A’s costs, Party A has the right to ask for compensation if any.

发生条款情况，押金不足抵付时，乙方必须按接到甲方付款通知后 十日内补足。

If Clause is brought into effect, and the said deposit is insufficient to cover Party A’s costs, Party B should pay the extra amount to Party A within ten days of receipt of Party A’s invoice notice.

The deposit is payable in RMB. Party A should issue a receipt to Party B after receiving the deposit.

五、 其它费用:

乙方在租赁期内所用的水、电、煤气,电话等费用由乙方缴付。

六、 甲方的责任:

Landlord’s Responsibilities:

租赁期内甲方不得无故收回房屋，如甲方中途要求收回房屋，乙方可以拒绝。

Party A is not permitted to take back the leased property during the term of the contract without any reason. If Party A wishes to do so, Party B has the right to object.

负责对乙方正常使用中发生的房内家具、电器及其他设施损坏或故障进行及时维修并承担费用。

To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.

督促物业公司提供充分的保安、消防工作及安静清洁的居住环境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.

督促管理公司向乙方提供所应提供的服务，如冷水、热水、电的供应及各种设备（包括空调）的正常工作，并提供公共区域和公共设施的开放，如健身房、儿童房和其他娱乐场所。督促公共区域和公共设施的清洁；公共区域的照明并提供道路指示牌。督促道路和公共区域的维护；督促修理、保养和更换大厦的保安设施、消防设施、电器设施、变压器、煤气、排水、空调、电梯和其它设施。

To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.

保证物业的合法性，保证有合法权利出租该物业。

Ensure the legality of the leased property. Ensure its legal rights to lease the property.

负责因违反上述责任而对乙方造成的所有损失的赔偿。

To compensate Party B for all loss arising from any breach of the above-mentioned responsibilities.

七、 乙方责任:

Tenant’s Responsibilities:

乙方应按本租约三、四、五条款规定交付租金，押金和各项费用，如有拖欠，则作违约论。

Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.

租赁期内未经甲方同意，乙方不能转租其所租房屋，私自转让无效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.

乙方应爱护房屋及其设备，如因使用不当导致损坏应负责赔偿。

Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.

在房内已有的装饰和设施之外，乙方如要增加设备或其他装修须征得甲方同意；租赁期满必须恢复原状如有损坏（正常使用磨损、结构或原有的问题除外），并承担其费用，经甲方验收认可后归还甲方。

In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.

保证赔偿由于乙方或乙方有关系的官员、上司、雇员、客人、来访者、雇佣工人、代理、执照持有者或被邀请人等（统称与乙方相关的人）的粗心及疏忽造成的房屋的损害或损失，并允许甲方或其代理人在事先通知后进入房屋，对房屋的损失或损害进行弥补及修复，在此所发生的费用由乙方负担。

To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.

在甲方预先通知后，乙方应允许甲方或其代理人在有理由的情况下在合理的时间进入及巡视房屋进行必要的维修或修复工作；在租赁期最后一个月内，允许甲方或其代理人带领有意租赁或购买房屋的客人视察房屋，但乙方已按第条书面通知甲方将续租时除外。

With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. During the last one months of the Tenancy, Party A has the right to show the leased property to prospective lessors or purchasers, unless according to clause , Party B has informed Party A of its intention to renew the Lease.

在未经甲方书面同意下，乙方不得擅自设立、安装或移动设施及设备，不能擅自设立隔段，不得擅自对房屋的结构机关改动或增加。

Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.

租赁房屋过程中，必须严格遵守_的有关法律、细则、规章及法令的规定，并严格禁止乙方利用房屋进行违犯法律及不道德的行为。

Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.

房屋除供乙方居住之外，未经甲方书面同意，房屋不可作办公或协议未曾说明之用。上述同意不应不合理地拒绝。

To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.

未经甲方书面同意，屋外不得擅自放置标示板及陈列任何设施，不允许在房外、窗及门上挂晒衣物以影响房屋外观面貌，该条件不得被不合理拒绝。

Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.

租客必须遵守物业条例准则，如出现纠纷需与业主来协商调解。

To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.

八、 房屋不能居住时其他事件:

Other things:

房屋由于火灾，恶劣天气，战争或其它甲方不可抗拒因素，而不是因为乙方直接或间接的疏忽及故意行为造成房屋毁坏而不能被正常使用及居住时，乙方从该日起停止支付租金，直至房屋可再被使用及居住时为止，如该房屋因任何不能归因于乙方的原因不能正常使用超过10天，乙方有权终止合同并无需承担任何责任，甲方应退还剩余部分押金及预付租金。甲方根据自己的意愿及经济、实际意义等原因，没有义务必须修缮复原房屋。若此情况发生，甲方应书面通知乙方，并在作出上述通知的十天之内将押金及预付租金全部退还乙方。

If the leased property are substantially destroyed or damaged by fire, bad weather, war, force major, or other causes beyond the control of Party A and not attributable directly or indirectly to the negligence or malice of Party B or are otherwise rendered unfit for use or occupation, the rent shall cease to be payable from the date the leased property become unfit for use or occupation until the leased property shall again be rendered accessible and fit for use, if the lessor’s property can not be properly used for any reasons beyond 10 days, Party B has the right to terminate the agreement without any.

The first rental shall be paid before moving in and the following rental shall be paid before the th of each succeeding 1 month’ term. PARTY A shall issue to PARTY B official invoice （Fapiao） upon receiving the rental. Party A shall send prior written notice to Party B for monthly rental payment request.

租金以人民币支票或转账形式支付.

Rental is payable in Ren Min Bi by check or by bank transfer.

在本租约有效期内，租金不予调整。

Rent will not be modified during the term of this Lease Agreement.

3 押金 Deposit:

乙方须支付相当于两个月房租的押金（即RMB ）, 以人民币支票或转帐形式支付）。甲方应在收到押金后向乙方开具统一收据。

A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.

押金在合同终止后10天内由甲方以相同币种全额退还给乙方（不计利息）。如果延期返还，则每延期一日，按每日万分之四支付给乙方利息。

The deposit shall be refundable in full amount in 10 days after the contract expiration, in same currency and excluding interest thereupon. In case PARTY A delays the refund of the deposit, PARTY A shall pay interest to PARTY B at the rate of per day of delay.

甲方应按时付清各种帐单。若以上出租房屋及其家具、设备等因乙方原因出现遗失或非正常的损坏，乙方应负责赔偿。

PARTY A shall pay off on time all the bills due. In case there is any loss or unusual damage to the furnishings, contents or the rental premises due to PARTY B’ s reason, PARTY B shall compensate for it.

4 租期

5 出租人的责任

PARTY A’s obligation:

3甲方声明及保证甲方为该出租房屋的合法拥有人，有合法地位出租此房屋，并就出租事宜已取得有关方面的批准。

PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.

租赁期内，若甲方出售该出租房屋导致该出租房屋所有权发生转移,甲方须保证本合同能继续执行。

In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.

甲方须按时将清洁状况良好的出租房屋交付乙方使用，保证在租赁期内出租房屋内的各项设施能正常使用。

PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.

甲方有义务负责出租房屋及设施的正常维护和保养，如房屋或设施非因甲方原因出现故障，甲方应在收到乙方通知后二十四(24)小时内自行或通过其他方式解决故障，否则，乙方有权雇佣第三方进行维修，由甲方承担所有费用并承担相关责任。由于不可抗力（如地震、台风、洪水、非人为的火灾等）、自然损耗或乙方以外的原因造成的损坏，亦由甲方承担有关费用。

PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.

租赁期内，在乙方遵守合同及支付租金的前提下，未经乙方允许，甲方不得进入该出租房屋。

During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.

甲方应督促管理公司向乙方提供足够的服务，如冷水、热水、煤气,电的供应及各种设备的正常工作。

Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.

房产税及与租赁有关的所有税费由甲方承担。

Premises tax and other leasing related taxes shall be paid by PARTY A.

6 承租方的责任

PARTY B’S obligations:

乙方申明及保证其在中国拥有合法居留权，并按有关规定办理必要的居住登记手续。

PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.

住客应按时支付电话费含上网费、水电煤气费。

The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.

乙方只能将出租房屋用做住宅，不得将之用作公司及代表处的注册地址，亦不可作为公开的办公室。

The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.

乙方不得在出租房屋内进行违反法律及政府对出租房屋用途有关规定的行为。

PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.

租赁期内，未经甲方书面同意，乙方不得将出租房屋部分或全部转租他人。

PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.

若因乙方使用不当或不合理使用，出租房屋及其内的设施出现损坏或发生故障，乙方应及时联络管理机构或甲方进行维修，并负责有关维修费用.

The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.

租赁期内，乙方对出租房屋进行装修或增加水、电、消防等设施，须经甲方同意并经有关部门批准，并由甲方执行监理，所需费用由乙方承担。双方解约时，乙方不能移走自行添加的结构性设施，甲方亦不必对上述添加设施进行补偿。

PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.

乙方有权在墙壁上悬挂画、图片或其他装饰性物品。合同履行期限届满或提前解约时，甲方应承担费用拔掉钉子、粉刷墙壁或使墙壁恢复原状，并承诺不以此为由扣留乙方的押金。

PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.

租赁合同期满的前一个月内，经合理事先书面通知，乙方应允许甲方或其授权人 引领潜在客人参观在出租房屋。

During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.

租赁期满，若甲，乙双方未达成续租协议，乙方应于租期届满时或之前迁离出租房屋并将钥匙及清理干净的房屋归还甲方.

PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.

7 提前解约Early termination:

六(6)个月后，乙方如要退租，应提前一(1)个月书面通知甲方终止本租约。在此情况下，甲方应在本租约终止后十(10)日内将押金全额退还乙方。

After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.

若因自然界的不可抗力，如火灾、洪水、台风、地震、战争等意外损害导致出租房屋无法居住，合同即自动终止，甲、乙双方互不承担责任。

If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.

8 续租

Renewal:

租赁期满，乙方有优先续租权，但须提前一个月通知甲方，并安排签订续租合同。

PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.

9 争议的解决

Dispute Resolution:

9．1 本合同适用法律为_相关法律。

The contract is governed by the laws of the People’s Republic of China.

9．2在履行本合同过程中产生的任何争议由双方协商解决，协商不成，可向中国国际经济贸易仲裁委员会(北京)申请仲裁。

In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult

together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.

本合同以中英文两种文字拟成，两种文本同等有效。

The contract is drawn in both Chinese and English versions. Both texts have equal effect.

篇三：房屋租赁合同中英文版

出租方: （以下简称“甲方”）Landlord: (hereafter called “Party A”)

承租方: （以下简称“乙方”）Tenant: (hereafter called “Party B”)

甲、乙双方就甲方愿意出租，乙方自愿承租房屋之事宜，经双方协商一致，同意签订该房屋正式租赁协议。

This Agreement is made between Party A and Party B in connection with rental of property whereby the following is agreed:

1 房屋 Property

Leased Property Address: (hereafter called the “Property“)

3 租金 Rental

付租方法：首月租金需于双方签好合同后15个工作日内支付。首月租金计自 至 ，金额为人民币 元。甲方收到该租金后的 5个工作日内提供乙方正式租赁发票。

Rental Payment: The rental for the first month of the lease shall be paid within 15 working days after both Parties sign the lease contract. The first month’s rental period is from to and the rental amount is RMB . Party A shall provide an official tax invoice within 5 working days from the date payment is received.

Starting from the 2nd month of the lease term, the rental shall be paid on a calendar monthly basis. Party A shall provide an original official rental invoice to Party B in advance on or before the 15th of every month for the following month’s rental and Party B shall pay each month’s rental to Party A’s bank account (see Attachment 3) before the 1st day of each calendar month. The date of transfer shall be defined as the date of payment.

The rental for the last month period is from to, and the rental amount is RMB .

All payments of Security Deposit, rental and management fee and etc. hereunder shall be made in RMB.

乙方同意按上述规定每月按时支付租金给甲方，如乙方逾期支付超过5个工作日（除国定长假外），则须缴纳滞纳金给甲方，滞纳金每日按月租金百分之（）计收直到所拖欠租金和滞纳金一起付清为止。乙方逾期超过30天的，仍未支付当月租金则被视为违约，则甲方有权提早终止本协议并收回该物业没收乙方保证金，乙方仍须支付迟付房租，相应滞纳金及未付的公用事业费。如由于出现不可抗力的情况包括但不限于，如遇银行方面问题或地震、风暴、洪水和火灾等自然灾害袭击，而使乙方不能及时付款，乙方不须支付其逾期付款所产生的滞纳金并不被视为违约行为。

Party B agrees to pay the rental to Party A on time according to the conditions stated above. Where full payment of the rental is delayed for more than 5 working days (except national holiday), Party B agrees to pay to Party A a fine for delayed payment equal to percent of the monthly rental per day until any outstanding rental, including late fees, has been paid in full. Should delay of the above rental payment be more than thirty (30) days in arrears and Party B has still not paid the rental, then Party B shall be deemed to have breached the Agreement. Party A reserves the right to cancel this Agreement early without further prejudice. Party A has the right to keep Party B’s Security Deposit, and Party B is still responsible for paying the late rental payment, relevant late fees and any outstanding utilities incurred by Party B. The above-mentioned fines shall not be imposed to Party B in case that any delay of payment is due to reason of Force Majeure including but not restricted to bank strikes, storm, earthquake, flood, and fire that restrict payment transfers directly, and in this case Party B shall not be deemed to have breached the Agreement.

月租金包括所有有关于该房屋的税金及物业管理费用，甲方应及时支付上述费用。如因甲方不支付或延期支付上述任何款项而导致乙方任何损失、责任或义务的，甲方应当向乙方承担相应的补偿责任，并使乙方免受损害。

The monthly rental includes all the relevant taxes and management fees concerning the Property. Party A shall make timely payments of the above expenses. Party A shall compensate Party B for and hold Party B harmless from any damages, obligations or liabilities incurred by non-payment or late payment of any of the above said expenses by Party A.

4 公用事业费 Fees and Utilities

租期内，房屋内所有除条款及附件一中租金所包含的费用外，由乙方使用产生的公用事业费及其它使用费等均由乙方承担。

Party B agrees to make full payment of any utility and personal usage fees, except the fees inclusive in the rental in clause and Attachment 1, incurred by them at the Property during the lease period as outlined in this Agreement.

乙方应及时支付由乙方产生的公用事业费及其它使用费，如因乙方不支付或延期支付上述任何款项而导致甲方任何损失、责任或义务的，乙方应当向甲方承担相应的补偿责任，使甲方免受损失。

Party B shall make timely payments of the utility and personal usage fees. Party B shall compensate Party A for and hold Party A harmless from any damages, obligations or liabilities incurred by non-payment or late payment of any of the above said expenses by Party B.

5 保证金 Security Deposit

本协议下租赁保证金为人民币 （大写： 元整），乙方需于双方签好合同后15个工作日内以银行转账向甲方支付该保证金。甲方收款后的10个工作日内提供乙方收据。

It is also agreed that Party B shall pay to Party A, a refundable rental Security Deposit of RMB (in words: ). This amount shall be paid via bank transfer within 15 working days after both Parties sign the Lease Agreement, for which Party A shall issue a separate receipt within 10 working days after Party A receives such rental Security Deposit payment.

如乙方在协议期满时不再续租，乙方同意不会使用保证金抵扣租金。

Upon the expiration of the Agreement, the deposit shall not be used to set off the rental.

除本协议另有约定之外，甲方应于租赁期限满或提前终止本协议之日起且乙方己清空、点清、并付清所有应付费用的10个日内将 剩余租赁保证金无息退还乙方。

Unless otherwise provided in the Agreement, Party A shall return to Party B the remaining Security Deposit without interest within 10 days after expiration or sooner termination of the Agreement provided that Party B has vacated the Property and settled all related charges.

如下列情况发生，甲方有权合理地从保证金中扣除以下费用，如保证金不足抵付时，则乙方应负担差额部分。

Party A is entitled to withhold reasonable amount from this Security Deposit required to cover costs in the following situations. Should the Security Deposit not be enough to cover the damage of the Property, Party B shall cover the rest of the cost.

I. 租期内，房屋之一切设备如有因乙方非正常使用而导致的损坏的, 且该损坏的物品已于退房日经甲乙双方签字认可的但乙方未支付该修复费。甲方扣除该修复费必需合理并在抵扣后的三天内向乙方提供正规维修发票原件。

Repairs or damages caused by Party B during the tenancy for which confirmed by both Party A and Party B on the check-out date while Party B has not already paid the repair fee, other than normal wear and tear. The corresponding official invoice shall be provided by Party A to Party B within three days after the deduction of the reasonable repair fees.

II. 乙方在租赁期内所使用（未支付）的.电话费或其它使用费等，并在扣除后的三天内给到乙方正规的费用发票。

Any remaining or outstanding utilities and personal usage fees including but not limited to telephone fees or unpaid liabilities. The corresponding official invoice shall be provided by Party A to Party B within three days after such deduction.

若根据本协议规定，甲方有权在乙方违约的情形下没收该保证金的，则甲方应向乙方提供没收保证金的书面收据。

In the event that Party A is entitled to confiscate the Security Deposit due to the breach of Party B according to the stipulation hereunder, Party A shall provide Party B a written confirmation regarding such confiscation of the Security Deposit.

6 甲方同意遵守以下条款和条件，否则视为甲方违反本协议：

Party A agrees to abide by the following terms and conditions, otherwise Party A is in breach of this Agreement:

甲方须负责该房屋各种结构之维修费用，如屋顶、天花板、以及主干结构包括墙壁等，并确保该房屋的主干结构处于良好状态。

To be responsible for any repairs required to the roof, ceiling and main structure of the Property including walls, and to maintain these structures in good repair and condition at its own expense.

待本协议签署后，甲方需在交房日前按照本协议之附件四（该房屋内家具与设备电器清单）提供配备家具与电器设备。

To furnish the Property according to the Attachment 4（Furniture, Furnishings and Appliances Lists) before the handover date, after this Agreement has been signed by both parties.

租赁期内，除乙方发生违约或不可抗力因素（包括自然灾害袭击或政府政策变动）外，甲方不得无故提前终止本协议，否则甲方除返还乙方支付的保证金（除第条和条所涉及内容以外），还需以银行电汇方式支付乙方人民币 元(大写： 元)作为提前终止本协议的赔偿金。

Not to prematurely terminate this Agreement during the lease term, unless a breach or event of force majeure (including Acts of God or of government) has occurred. Should Party A terminate the lease prematurely without good cause then in addition to repayment of the Security Deposit paid by Party B (except as provided in Sec. . And ), Party A agrees to wire transfer

RMB to Party B as the penalty for such early termination of the Agreement.

在租赁期内, 甲方所提供的家具或是家电由于质量原因或是老损而导致其不能正常运作，甲方同意自担费用为乙方进行维修或更换同等级别或以上的产品.

If any appliances provided by Party A become broken or malfunction due to normal wear and tear during the lease term, Party A will be responsible for repair or replacement to the same standard of appliance or better at its own expense.

租赁期内，甲方定期对房屋设备进行维修保养。甲方应保证租赁房屋及附件四所列之所有家具、设备和电器的使用安全，且应负责修理和维护租赁房屋和所有上述家具、设备和电器，并保证所提供的家具、设备和电器符合安全性能标准和具备正常使用功能。如需紧急修理，甲方在收到乙方通知后十二小时内需安排人员进场查看和检修，如遇等待专门的第三方维修工作或等待专用的设备零部件的情况，则维修的截止日期为维修工作或零部件到达日，费用由甲方负责（除乙方使用不当造成的维修）。

During the lease term Party A shall be responsible on a regular basis for all maintenance and repairs of the Property. Party A shall guarantee the safety for the use of the Property and all the furniture, equipment and electrical appliances listed in Attachment 4. For emergency repairs, Party A should send someone to inspect the problem within 12 hours of having received notice from Party B. If awaiting repair work by a specialized third party or the delivery of specialized spare parts then the repair / delivery date becomes the due date. Party A shall be responsible for the repair payment at its own expense (except where the maintenance or repair is due to improper use by Party B).

租赁期内，甲方和/或甲方所指定的代理人如需进入该房屋进行修理或维护、甲方需给予乙方居住人不少于24小时的预约通知，且不得影响乙方居住人的正常生活。除非任何一方认为情况紧急，应该安排甲方和居住人双方都方便的时间进行修理。

During the lease term Party B and the Occupant agree to give Party A and/or his appointed agent(s) access to the Property for repairs and maintenance as needed but without affecting the Occupant’s normal life. Intention to undertake such maintenance will be preceded with no less than __24__ hours prior notice from Party A to the Occupant (unless deemed more urgent by either Party) and shall be arranged at a time convenient for both Party A and the Occupant.

如因该房屋内的设备、设施发生故障，无法保证乙方正常居住，（因水、电、煤供应公司停止其服务及小区设备设施维护情形除外），且甲方收到乙方通知后三日内仍无法完成修复的，在该等房屋修复或纠正期间，甲方应提供乙方（A）可替代的具有类似标准的全装修并配置齐全的房屋，（B）服务式公寓或酒店（最高价值人民币 元/天）用于临时居住。如在甲方收到乙方通知后14日内，所涉问题仍无法修复，乙方有权书面通知终止本协议且不承担违约责任，甲方应自收到乙方发出的该等书面终止通知之日后5日内，不计利息全额返还乙方保证金。

Because of the problems of the Property furniture and equipment, the Property becomes uninhabitable, (exclusive the problems of water, electric, gas companies stop service and complex equipment stop service), and Party A can’t fix the problems in 3 days after get notice from tenant, during the aforesaid problem fixing period, Party A should provide either (a) alternative fully fitted and furnished accommodation of a comparable standard , or pay for (b) serviced / hotel accommodation valued at maximum rmb per day while the Property is being repaired. If the Property is not repaired within 14 days after receiving the notice from Party B, Party B has the right to terminate the lease by serving a written notice without being held of and liabilities of breach of this agreement and Party A shall return the security deposit in full amount to Party B within 5 days upon receiving the termination notice of this agreement.

甲方保留在本租赁期限内出售本出租房屋的权利，但需提前60日向乙方发出书面通知，在此情况下乙方放弃对该物业的优先购买权，此时乙方有权选择（1）终止本协议，甲方应把保证金全款退还（条款涉及的情况除外）以及退还乙方已向甲方支付但尚未使用的租金；或者（2）选择要求继续履行本协议，甲方应确保新业主同意概括承受本协议项下剩余租赁期限内甲方的所有权利及义务，且甲方、乙方及新业主应当签署三方转让协议，明确本协议项下乙方已向甲方支付但尚未使用的租金以及其他任何乙方已付未用费用，以及租赁保证金应当由甲方直接转交至新业主，并由新业主向乙方开具新的租赁保证金收据。若前述三方转让协议未能签署导致乙方无法继续承租该房屋的，则甲方应赔偿乙方由此遭受的全部损失，并双倍返还保证金和所有已付未用的租金及其他费用给乙方。

During the Lease Term, Party A reserves the right to sell the Property, provided a prior 60 days written notice is given to Party B. Under the above conditions, Party B forgoes priority to purchase the said property. Under this the situation, Party B shall have the right to choose to i) terminate the lease and Party A shall return Party B’s Security Deposit in full (except as provided in Section. ) and return any rental which has paid by Party B to Party A but not yet used; or ii) keep executing this Lease Agreement, then Party B shall ensure the new property owner agree to bear all rights and obligations of Party A during the remaining lease term under this Lease Agreement, and Party A, Party B and the new landlord shall enter into a tri-party transfer agreement, which shall clearly stating that all the Security Deposit in full and any rental and other fees which has paid by Party B to Party A but not yet used shall been directly transferred from Party A to the new landlord, and the new landlord shall issue the new receipt to Party B for the Security Deposit. If the aforesaid tri-party transfer agreement is not signed and Party B could not further lease the Premises, then Party A shall bear all the losses for Party B which incurred, and shall double return Party B the Security Deposit and return any rental and other fees which has paid by Party B to Party A but not yet used.

如甲方自交房日起延迟交付乙方房产壹个月，则视甲方违约，甲方需归还乙方租赁保证金和已支付的租金并另外再支付乙方与该保证金同等金额的赔偿金。

If Party A delays the property handover to Party B for more than one month from the due handover date, then Party A shall be deemed to have breached the contract, Party A should refund the rental Security Deposit, the rental already paid by Party B, and pay an amount equivalent to the Security Deposit to Party B as the penalty.

7 乙方同意遵守以下条款和条件，否则视为乙方违反此协议：

乙方承租房屋须按规定用途使用，不可用于规定以外不道德或不合法用途。

To use the named property as per the usage stipulated above only and not to use the Property for any immoral or illegal purpose.

乙方须全面遵守有关房屋管理公约，履行公约所规定的各项义务，承担违反公约所产生的责任，但前提是甲方应事先向乙方提供该房屋管理公约。

Party B should abide by any rules and/or regulations of the building’s management, and be responsible for breaking the rules/regulations, provided that such rules and/or regulations shall be made available to Party B by Party A in advance.

租赁期内，除乙方在给予甲方书面通知后，甲方没有在前述条约定的三天内履行其应尽的修复义务之情况外，乙方在第条规定的固定期内不得无故提前终止本协议，否则甲方将有权保留乙方两个月租金之保证金以作赔偿，乙方仍须支付直到实际搬离日的未付租金，滞纳金和公用事业费用及因乙方或居住人或乙方指定进入该房屋的人疏忽而导致的损坏所产生的费用（除正常损耗外）。

Not to prematurely terminate this Agreement, unless a breach has occurred by Party A and has not conducted the reparation obligation within 3 days of written notice having been delivered to Party A stipulated in Article . Should Party B terminate the lease prematurely without good cause during the fixed lease term as specified in Clause hereunder, then Party B shall forfeit the Security Deposit in full and will still be held accountable for the rent until the physical checkout date, late fees, utilities and costs for repairing any damages (except for normal wear and tear) accrued and/or caused by Party B, the Occupant or persons authorized by Party B or the Occupant to enter the Property.

乙方不得擅自将房屋转租给第三方，或与第三方合租、分租。若乙方需将该房屋转租给Nike的关联公司或其员工，需提前书面通知甲方并与甲方和新的承租方签订转租协议。

Party B shall not to sub-let or part with the possession of the named Property to another third party. However, Party B can assign the Property to an associated Party affiliated to Nike or its staff. In this case, Party B should provide Party A a prior written notice, and sign a transfer agreement with Party A and the new tenant.

乙方不得在该房屋内，收藏政府违禁之物品，举凡军械、火药、硫磺、汽油，及挥发性之化工原料，或有爆炸之危险物品，均不得陈放该房屋内外任何地方，否则违反中国法律或地方律令，一切后果由乙方负责。

Not to store arms, ammunition or unlawful goods, gun-powder, kerosene or any explosive or combustible substance at the named Property, and to be answerable and responsible for any consequence of any breach of local Ordinances or Chinese laws.

8 房屋的使用要求Property Use Guidelines

乙方须正确使用该房屋内甲方所提供之家具，装置及设备, 确保退还时仍处于良好状态，正常损耗除外。

Maintain the interior of the named Property, including all furniture, fixtures and fittings provided by Party A, such that the Property can be returned to Party A in good condition (but considering normal wear and tear) and state of repair as at commencement of the lease.

乙方应采取所有合理预防措施来保护出租房屋的内部设施以防其受到暴风雨（雪）和其它恶劣气候条件的侵害，且一有此种恶劣气候条件下，乙方即应采取适当行动，例如，包括但不限于所有的外部门窗锁牢或关牢等。

Party B shall take all reasonable precautions to protect the interior of the Property against damages from storms and other adverse weather conditions and shall, upon threat of such weather condition, take appropriate action, such as, but not restricted to, ensure that all exterior doors and windows are securely locked or closed.

乙方应爱护并适当使用租赁房屋。如果由于乙方或乙方的任何雇员、代理、访客或被邀请人对租赁房屋的不适当使用造成租赁房屋的任何损害或损失，乙方应及时通知甲方，甲方将安排修复该等受损财产。由此发生的合理费用由乙方承担。

Party B shall take care and make proper use of the Property. If Party B or any employee, agent, visitor or invitee of Party B has caused any damage or loss to the Property due to its improper use of the same, Party B shall immediately inform Party A, who will then arrange for repair of such damaged properties. The reasonable expenses incurred there from shall be borne by Party B.

乙方居住人需通知甲方并在其协助下在房屋墙上挂画或艺术品以保护墙面和艺术品并避免墙壁内部电线和管道被破坏。

Party B’s occupant should notify and allow Party A to assist in hanging pictures / artwork on the wall so as to minimize damage to (a) avoid damage to internal wiring and plumbing, and to (b) minimize damage to walls and paintwork.

遗弃物品Abandoned Items

当本协议到期时，乙方应将该物业连同本协议所有的附件中所列清单中的家具及设备归还给甲方。除非甲方同意，任何该物业内乙方遗留的物件，甲方可通知乙方将其清理，如通知后的五个工作日内乙方仍未清理，甲方有权将其视为乙方遗弃之物品，可自行处理并有权从乙方所付之保证金中扣除因此而产生的合理费用。

Party B shall return the Property, fixtures and fittings together with all items as detailed on the attachments of this Agreement to Party A when the Lease Term expires. Unless otherwise agreed by Party A, Party A shall notify Party B of any items left in the Property by Party B. If after 5 working days Party B has not removed these items then they shall be deemed to have been abandoned and Party A shall have the right to dispose of the items and deduct any reasonable costs for doing so from Party B’s Security Deposit.

9 不可抗力Force Majeure

如由于出现不可抗力的情况包括但不限于，如遇地震、风暴、洪水，火灾等自然灾害袭击，而使该房屋内任何设施不能正常运行，或水、电、煤气、冷暖气供应中断时，或房屋出现自然损坏，或由于结构不稳定而无法居住，则甲方不负任何责任。而乙方不用支付在此无法居住期间的租金直到该房屋修复为止。

Should any part of the Property including its facilities or the building within which the Property is located, become damaged or destroyed by force major, including but not restricted to storm, earthquake, flood, fire or should the Property or the building within which the Property is located, be found to be structurally unstable or illegal, Party A shall not be responsible, and Party B is not liable for any rental from that point onward until the building is again fit for habitation.

10 书面通知 Written Notice

与本协议有关的任何通知可以书面文件形式邮寄或传真或电子邮件至附件三所示之另一方地址。通知收到时间以书面通知邮件寄出后或挂号信或快递方式寄出至指定地址之日起5天内视为送达。任一方有权变更邮寄地址或传真号码，但须提前5天通知另一方。

Any notice under this Agreement shall be in writing, in Chinese and English, and shall be delivered by mail, fax or email to the address of the other Party set forth in Attachment 3. Notices shall be deemed given after the written notice has been sent via email or 5 days after the written notice has been sent by either EMS or Registered Post. Both Parties have the right to change the mailing address or facsimile number providing they give 5 days notice.

11 附件 Attachments

所有关于本协议的附件、附加条件、修正及修改条款都必需经过甲乙双方的正式授权代表人协商同意并签字。经过甲乙双方协商签字的部分是本协议不可分割的组成部分，拥有本协议同样的法律效应。

All annexes, attachments, amendments, supplements and alterations to this Agreement shall be made in writing and signed by the duly authorized representatives of both parties upon the agreement reached between both parties through consultations. They shall form integral parts of this Agreement and have the same force as this Agreement itself.

12 仲裁Arbitration

任何有关于此协议的不同意见及争议，双方都应尽可能协商解决。如有任何异议，任何一方应尽快书面通知另一方，以便及时更改本协议及解决问题。

Any differences or disputes arising from this Agreement or from agreements regarding its performance shall be settled by an amicable effort on the part of both parties to this Agreement. An attempt to arrive at a settlement shall be deemed to have failed as soon as one of the parties to this Agreement notifies the other party in writing.

如果甲乙双方无法在30天内就争议达成一致，任何一方均可将该争议提交给中国国际经济贸易仲裁委员会上海分会由仲裁庭任命独任仲裁员予以裁决，仲裁裁决为终局。

Failed to reach an agreement within 30 days, either party shall have the right to submit the case to China International Economic and Trade Arbitration Commission Shanghai sub-commission (“CIETAC”) for arbitration by a sole arbitrator appointed in accordance with the rules. The Award shall be final.

仲裁和开庭地点应为上海。如果仲裁规则没有规定，则适用_程序法。仲裁语言为中文。

The place of arbitration shall be Shanghai. The procedural law of the PRC shall apply where the rules are silent. The language of the arbitration shall be Chinese.

仲裁者应出示书面仲裁结果，仲裁委员会应决定关于因仲裁而发生的费用。

The arbiter’s award shall be substantiated in writing. The arbitration tribunal shall decide on the matter of costs of the arbitration.

13 协议终止 Termination of Agreement

双方同意在本协议到期时自动终止，若双方希望续约，可签订新书面协议。

Both parties agree that this Agreement will be automatically terminated on its expiration, and both parties shall enter into a new written agreement if they so wish.

如甲、乙双方任何一方不再续租本协议，在租赁期的最后两个月内乙方居住人需允许甲方或其授权代理人带领有意向的租客或购买者看房。甲方须至少提前24个小时给居住人通知且不影响居住人的正常生活。

If either Party A or Party B does not intend to renew the Agreement, during the last two months of the Lease Term Party B’s occupant agree to enable Party A and/or his appointed agent(s) to show the said premises to prospective tenants or purchasers. Intention to undertake such viewing will be preceded with no less than 24 hours notice from Party A to the Occupant, but without affecting the Occupant’s normal daily life.

14 续签新租赁协议 Renewal of Agreement

甲方同意授予乙方第 二 年的优先承租权。乙方需在本协议到期日前二个月内以书面形式通知甲方是否续租。若乙方提出续租，则双方可以重新商讨租赁协议条款和租金，

Party A agrees to give Party B first right of refusal should Party B want to renew the lease for a second year. Party B agrees to give Party A no less than (2) months written notice prior to the expiration of this lease should Party B intend to renew the lease for a further period. If such an offer is made to Party A then it is agreed that the conditions and rental can be negotiated

between the two Parties, who will then enter into a new written contract.

除甲方同意乙方续租外，乙方应在本协议的租期满后的退房日返还该房屋，未经甲方同意，逾期返还该房屋的，自退房日起，乙方应按人民币3420天向甲方支付该房屋占用费。

Except in the instance when Party A agrees for Party B to renew this Agreement, Party B shall return the Property at the date for check out following the expiration date of the lease term. In case Party B fails to return the Property at the date for check-out without Party A’s consent, Party B shall pay RMB3420 (double the average daily rental) per day for the occupation fee of the Property beyond such date for check-out.

15 协议 Agreements

本协议一式四份，甲方和见证方各执一份，乙方执二份。

There are four originals of this Agreement. Party A, Party B and the witness will each hold one copy and Party B will hold two copies.

本协议以中、英文书写，中英文条款及意思如有不一致之处而引起双方争议的以中文版的条款为准。

This Agreement shall be written in English and Chinese. In the event of any inconsistency between the English and Chinese versions, the Chinese version shall prevail as the official version.

本租赁协议表示双方对此房屋目前出租的情况完全的理解，同意。本协议将不被修改或只在书面契约下由双方进行适当地修改。如果上海有关政府机关要求任何的标准租赁协议，本协议将为标准租赁协议的补充并以本协议为准，本协议附件是本协议不可分割的组成部分。

This Agreement represents the entire understanding and agreement between the parties hereto relating to the lease of the Property. This Agreement shall not be amended or otherwise modified except by a written instrument duly executed by both Parties. In case any standard lease form is required by the relevant government agency in Shanghai, this Agreement shall supplement and prevail over that standard lease form. The attachments shall form integral parts of this Agreement.

甲乙双方应各自承担与本租赁协议有关的印花税。

Party A and Party B shall bear the stamp duty in connection with this Agreement respectively.

经甲方、乙方和见证方协商, 同意遵循以上协议之内容和条款,本协议从签约之时开始生效。

一、 出租人： (以下简称“甲方”)

租期届满，乙方如要求续租，应在本合同期限届满前两个月提出书面申请，取得甲方同意后，甲、乙双方须另行签署租赁协议。

If Party B wishes to renew the lease， party B shall submit a written application to Party A two months prior to the expiry of this lease， and a lease agreement shall be concluded between the parties separately subject to Party A‘s consent.

五、 免租期(含装修期)

在租赁期内，乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算，乙方按单缴付。免租期内承租单元所用的电费由乙方支付。

During the lease term， the electricity consumed in the Premises shall be paid by Party B to the Management Department in accordance with the actual consumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premises during the Grace Period

七、支付方式：

Payment：

租金应按 预付，免租期届满后，乙方于应付款月的第【 】号前向甲方支付下期租金。

The rent shall be paid on basis. After expiration of the Grace Period， Party B shall pay for the rent before the【 】 day of the current .

Miscellaneous charges： Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.

乙方应按甲方指定的帐户支付本合同项下所有的到期款项，所有付款以人民币计算，以人民币支付。

Party B shall pay the rent and all other amounts due and payable in RMB to the account designated by Party A.

九、保证金：

Deposit：

自本合同签订之日起 日内，乙方应向甲方缴付相当于【 】个月的租金计人民币【 】元作为保证金及首期租金人民币【 】元，共计人民币【 】元。

本合同期满，如本合同不续租，甲方应在期满后三十(30)天内返还保证金(不计利息)如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项，甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。

Upon expiration of the Lease Agreement， if the Lease Agreement is not to be renewed， Party A shall refund the deposit without interest to Party B within thirty (30) days after the expiration of this Lease Agreement. If there is any default penalty or compensation or expenses incurred due to the breach of Party B and/or any due amount that Party B fails to pay， Party A may deduct such default penalty or compensation or expenses or due amount from the deposit.

在本合同期限内，如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项，甲方可直接从保证金中予以扣除，乙方应在接到甲方书面通知后五(5)天内补足该部分保证金。

During the lease term， if there is any default penalty， compensation or expense and/or any other due amount that shall be paid by Party B， Party A may deduct such amount from the deposit and Party B shall， within five (5) days after Party A so notifies.

十、大厦及承租区域的交付状态：

The state of the Premises when delivery ：

甲方按现状交楼，具备办公条件。

Party A will deliver the Premises at as-it-is basis， which satisfies the conditions as office.

十一、甲方的权利义务：

Party A‘S RIGHTS AND RESPONSIBILITES：

甲方在本租赁合同规定的期限内将房屋交付乙方。

Party A shall deliver the Premises to Party B within the term specified herein.

甲方保证是房屋的合法权利人，有充分的权利出租房屋。

Party A shall ensure that it is legal owner of the Premises and have full right to lease the Premises.

甲方的权利保留Party A may reserve the following rights.

使用公共设施;to use the public facilities;

进入房屋内对公共设施进行检查和维修。甲方行使该项权利时，应提前通知乙方，紧急情况除外。

to enter into the Premises for check and maintenance provided that Party A shall inform Party B in advance except under emergency.

在发出通知后(紧急情况除外)，有权暂停大厦设施进行维修和维护，可能导致水电的中断。甲方无需为此承担责任。

To repair and maintain the facilities of the building which may result in the suspension of water and electricity， upon a notice (except under emergency) without any liability thereof.

甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。

Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.

甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。

Party A shall procure the Management Department to provide water， electricity， air conditioning， heating and daily maintenance during the lease period.

如在租赁期届满前两个月，乙方未提出续租请求，或者虽然提出续租请求，但双方在三十天内未就续租合同条款达成一致，甲方有权在工作时间带领其他租户进入房屋查看。

If Party B does not submit an application for renewal two months prior to the expiration of this Lease Agreement， or if Party B submits such application but the parties fail to reach agreement on the renewal， Party A shall have the right to enter the Premises with other tenant at work hours to review.

十二、乙方的权利和义务

Party B‘S RIGHTS AND RESPONSIBILITES：

自行负责房屋的装修和设施。

Party B shall be responsible for the decoration and facilities of the Premises.

除非经消防局及甲方同意，乙方不得对房屋的主要结构及装置(包括喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动，应负责将其恢复原状并承担一切费用和相关责任。

Party B shall not alter， change， dismantle or adjust the main structure or facilities including the smoke sensor and spray without the consents of Party A and fire control authority. If Party B makes any alteration， dismantle or adjustment as aforesaid， it shall be responsible for restoration and bear all expenses and related liabilities.

乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。

Party B shall pay the rent and other fees pursuant to Clauses 6， 7， and 8 on time.

乙方应按本合同的规定合理使用房屋，并保持房屋的清洁。

Party B shall reasonably use the Premises as provided hereunder and keep it clean.

未得到甲方及大厦管理机构的事先同意，乙方不得在窗外、外墙、

公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。

Party B shall not hang， affix， or display any advertisement， signboard， poster or any other materials on outside window， outside wall， public aisle wall， elevator or other public area without the prior consents of Party A and Management Department.

乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。

During the lease term ， Party B shall not sub-let or assign the lease to any third party.

乙方在其经营活动中，不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。

Party B shall not represent or otherwise mislead the customers that it has any cooperation， joint operation， partnership or affiliation relation with Party A during its operation.

乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照，保证其营业活动的合法性。

Party B shall be responsible for obtaining all approvals， consents and licenses required by laws to ensure that its operation is legal.

乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。

Party B shall be responsible for any and all taxes， fees and expenses incurred for its industrial and taxation registrations and moving into the Premises.

对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔，乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失，乙方保证进行赔偿。

Party B shall be responsible for and hold Party A harmless against any claims raised by the customers for any personal injury and economic losses caused to the customers by Party B or caused in the Premises. Party B hereby warranties that it shall indemnity Party A for any losses caused to Party A by such claims.

乙方不得在房屋内放置易燃、易爆的物品其他危险物品。

Party B shall not keep or store in the Premises any flammable or explosive substances or other dangerous substances.

乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。

Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.

乙方不得在房屋内从事任何违法活动。

Party B shall not carry out any illegal activity in the Premises.

乙方不得将房屋用于除办公以外的用途。

Party B shall not use the Premises for any purpose other than as office.

若乙方以租赁房屋作为其公司注册地址时，乙方应在租赁合同终止后15日内办理地址注销登记手续，乙方逾期办理的，应每日按月租金千分之三的标准向甲方支付滞纳金，造成甲方损失的，应予以赔偿。

If the Premises is used as company‘s registered address of Party B， Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time ， it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.

十三、违约责任与合同终止

BREACH AND TERMINATION

违约

任何一方违反合同给另一方造成损失的，应当进行赔偿。

If a party is in breach of this Lease Agreement， it shall compensate the other party for any losses cause by its breach.

在下列任何情况下，本合同终止

This Lease Agreement will be terminated under any of the following conditions：

租赁期限届满：

The expiration of this Lease Agreement

当一方违反本合同中任何规定，并且另一方书面通知要求其予以纠正的三十(30)日内未能纠正违约行为或者如果该违约是无法纠正的，守约方有权立即终止本合同。

by one of the Parties， with immediate effect， when the other Party is in breach of this Lease Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach sends a written notice requesting the cure of such breach;

甲方可以提前六十(60)天的书面通知提前终止本合同，但应双倍返还乙方保证金。

Party A may terminate this Lease Agreement with a sixty (60) day prior written notice provided that it shall refund the deposit in double amount.

如乙方延期支付租金和/或其他各项款项超过十(10)日，甲方有权解除合同，保证金不予退还。乙方除应支付延期款项外，还应支付逾期付款违约金，数额延期支付金额的日，直至乙方全额付清为止。

If Party B delays the payment of rent and/or other amounts for ten (10) days， Party A shall have the right to terminate this Lease Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of of the overdue amount per day until it pays in full amount， in addition to pay all the overdue amounts.

如乙方不遵守大厦管理规定并严重影响其他租户正常经营，甲方可以书面通知乙方提前终止本合同，并且保证金不予返还。

If Party B does not comply with the management rules of the building and therefore seriously affects the normal operation of other tenants， Party A may terminate this Lease Agreement in advance with a written notice and the deposit shall not be refunded.

如乙方在房屋内从事任何违法活动或未按照办公用途使用房屋，甲方有权立即书面通知乙方提前终止本合同，保证金不予返还。

If Party B carries out any illegal activity in the Premises or use the Premises for other purpose than office， Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

如乙方将房屋分租或转租第三方，甲方有权以书面通知立即终止合同，并且保证金不返还。

If Party B sublets or assigns the lease to a third party， Party A shall have the right to immediately terminate this Lease Agreement with a written notice and the deposit shall not be refunded.

不可抗力Force Majeure

一方因不可抗力事件连续六十天(60)不能履行义务，任何一方可以书面通知终止本合同，在不可抗力的影响范围内受影响的一方不承担违约责任。“不可抗力”包括自然灾害、爆炸、飞行物体坠落、政府行为(但专门针对受影响一方的行政行为除外)等受影响的一方不能预见、不能控制并且不可避免的事件。双方在此明确但商业性风险不应作为不可抗力。受影响的一方应在不可抗力事件发生后的五(5)日内书面通知对方，并且应附有有权机构出具的不可抗力发生的证明。

Either Party may terminate this Lease Agreement with a written notice if one party is not able to perform its obligations hereunder for consecutive sixty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the extent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foresee， control and avoid as natural disaster， explosive， falling of flying objects， government action (except those specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.

一方进入破产、清算、解散或任何类似程序，另一方可以终止本合同，但以善意管理费用或合并为目的的除外。

One party may terminate this Lease Agreement if the other party launches the bankruptcy， liquidation， winding up or any similar procedure other than for the purpose of a bona fide reconstruction or amalgamation.

13. 3 合同终止的后果 The result of the termination

如本合同届满并且未由乙方续租，乙方须于届满之日的17点之前腾空房屋;如本合同因任何原因提前终止，乙方应于终止日后的三日内腾空房屋。如乙方未能在此期间腾空房屋，由乙方应按日支付房租，逾期十日以上(包括十日)，乙方应按双倍房租支付。如因此给甲方造成经济损失(包括因未能向下一租户及时交付房屋而导致的违约金和租金收入)，还应赔偿损失。

If this Lease Agreement is expired without the renewal of Party B， Party B shall vacant the Premises by 5pm on the date of expiration; if this Lease Agreement is terminated in advance for whatever reason， Party B shall vacant the Premises within three (3) days after the termination date. If Party B fails to vacant the Premises within the aforesaid period， it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive)， Party B shall pay the rent in double amount. If there is any economic loss caused to Party A including the penalty for not delivering the Premises to next tenant on time and rent loss， Party B shall compensate such loss.

乙方还应拆除装修和清理房屋(甲方同意保留装修的除外)，以甲方交付之时的状态或双方共同认可的状态将房屋交还甲方(正常损耗除外)归还房屋时留在房屋内的所有设施、装修及物品均视为乙方放弃所有权，甲方可随意处置。如乙方未将房屋恢复原状，甲方可自行恢复原状，乙方需支付全部费用，可由甲方从保证金中扣除。

Party B shall also dismantle the decoration (Except for the decoration that Party A agrees to retain)and clean the Premises so that the Premises will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is excepted) Party B shall be deemed waiving the title of all facilities， decoration and staff left the Premises when the Premises is returned to Party A and Party A may dispose them in any way. If Party B fails to restore the Premises to the condition of delivery， Party A may restore the Premises to the condition of delivery and Party B shall bear all expenses thereof， which may be deducted from the deposit by Party A.

除因乙方违约造成合同终止的情况以及本合同有不同规定的情况以外，甲方应将保证金返还乙方。

Party A shall refund the deposit to Party B except the termination is caused by the breach of Party B and otherwise provided hereunder.

乙方应支付全部应付费用，包括房租、水电费、电话费等。

十四、附则

争议的解决 Dispute Resolution

因执行本合同或与本合同有关的一切争议，双方应通过友好协商解决。协商不成的，则任何一方有权将争议提交北京仲裁委员会仲裁裁决。仲裁程序应遵照仲裁委员会的现行仲裁规则进行。仲裁期间，双方应继续执行本合同不涉及争议的部分。

Any disputes arising from the execution of or in connection with this Lease Agreement shall be settled through friendly consultations between the parties. In case no settlement can be reached through consultations， such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration， the Parties shall continue to perform the part of this Lease Agreement not under dispute.

合同的修改The amendment of this Lease Agreement

对本合同只可通过双方书面修改。

This Lease Agreement may be changed only by a written instrument signed by parties.

可分性 Severability

本合同任何条款无效，不影响其他条款的效力。

九、乙方的责任：

If THE LESSEE refuses to compensate or to contact the management office to repair, THE LESSOR shall have the right to repair and charge the cost from THE LESSEE. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood, non-man-made fire, etc.), reasonable wear and tear or by accidents beyond THE LESSEE_s control, should be borne by THE LESSOR.

因乙方使用不当，房屋及其内的设施出现损坏，乙方应及时联络管理机构进行维修，并负担有关维修费用。若乙方拒不维修或赔偿，甲方有权代为维修，维修所需费用由乙方承担;但由于不可抗力，如地震、台风、洪水、非人为的火灾等，自然损耗或乙方以外的原因造成的损坏，由甲方承担有关费用。

：THE LESSEE, upon written permission of THE LESSOR, may make additions or alterations dealing with water, electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of THE LESSOR. No structural alterations can be removed from the premises, upon expiration or termination of this contract. No reimbursement for said additions, and any structural damage to the premises must be repaired or compensated by THE LESSEE.

4. The LESSOR hereby acknowledges receipt of the sum of (US dollars Nineteen Thousand and eight Hundred Only) per month.
